Responsibilities

Trilogy Health Services headquartered in Louisville, KY with 107 health campus locations throughout the Midwest is looking to appoint a talented and highly experienced Chief Legal Officer. The Executive Vice President & Chief Legal Officer (CLO)) will oversee all legal matters for Trilogy Health Services, its subsidiaries and affiliated entities.  The CLO will serve as the primary legal advisor to the CEO, the company’s senior management team, and the Board of Directors. and will serve as a member of the senior management team leading the Legal and Risk Management functions.  The CLO will advise on major contracts and transactions, including mergers and acquisitions, joint ventures  and business and physician agreements; real estate transactions; regulatory compliance; financing agreements; research and intellectual property matters; labor and employment issues; litigation; patient care matters and external counsel management. 

 

Specifically, the key responsibilities for the CLO include the following:

  • Develop, implement, and manage the provision of legal services for Trilogy and its affiliates to include a budget for internal and external legal services and expense as well as:Liability insurance reserves and other insurance coverage
  • Selection and management of external counselManagement and development of in-house legal staff
  • Provide overall leadership and management of all corporate and commercial legal matters, facilitating strategically important corporate initiatives and advising CEO, leadership and the Board on transactions and negotiations
  • Serve as a member of senior management to advise on strategic initiatives and business needs, providing legal and business counsel, and establishing and influencing appropriate ethical standards and legal considerations 
  • Serve as a registered agent for each corporation and assist in the maintenance of corporate records, contract databases and other necessary document retention
  • Provide legal support and advice and provide internal drafting of documents in connection with any financings
  • Render required disclosures in connection with financings and audits
  • Provide legal advice and draft or review documents to complete complex business transactions (acquisitions, mergers/consolidations, joint ventures, etc.)
  • Review, revise, draft , negotiate and implement a broad array of contracts (e.g. service, purchase, employment, severance, payor, leases, software licenses, education and construction)
  • Oversee company’s commercial insurance and risk management (including workers’ compensation) program
  • Remain current on and research, analyze, and interpret federal, state, and municipal statutes and regulations as they pertain to business transactions and operations, draft or review documents and policies, and/or provide education to support compliance with a broad range of federal, state, and local laws and regulations 
  • Complete the legal work related to creating or dissolving corporate or other entities 
  • Conduct in-house training sessions regarding relevant legal issues

Qualifications

Positions Requirements:

  • Juris doctorate from an accredited law school
  • License to practice law and in good standing
  • Twelve (12) to Fifteen (15) years of legal experience gained through a combination of major law firm and in-house experience as a general counsel or senior managing in-house counsel
  • Strong healthcare experience is required, including in the areas of business and real estate transactions, joint ventures, mergers/acquisitions/dispositions, and financings; and healthcare regulatory and legal compliance, Including an excellent understanding of major federal laws, applicable state laws and related regulations that govern the provision of post-acute healthcare services
  • Experience representing post-acute companies is strongly preferred
